TERMS OF SERVICE

PinPathRN LLC
Effective Date: 09/04/2026

IMPORTANT: THESE TERMS CONTAIN AN AGREEMENT TO ARBITRATE AND A CLASS-ACTION WAIVER IN SECTION 18.

These Terms of Service (“Terms”) are an agreement between you and PinPathRN LLC, a California limited liability company (“PinPathRN,” “we,” “us,” or “our”), governing your access to and use of the PinPathRN website, applications, account, educational-planning tools, recommendations, checklists, and related services (collectively, the “Service”).

These Terms apply to your access to and use of the Service, including any publicly accessible portions of the Service. By accessing or using the Service, including by creating an account or making a purchase, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Service.

1. Eligibility and Accounts

You must be at least 13 years old to use the Service. If you are age 13 through 17, you may use the Service only with the permission of your parent or legal guardian, and by creating an account or using the Service you represent that you have that permission. We may require you to confirm your age or age range during account creation. If we learn or believe that an account is being used by someone under 13, we may suspend or terminate the account and handle associated information as described in the Privacy Policy. The Service is intended for users located in the United States. You may use the Service only in compliance with applicable law.

You must provide accurate, current, and complete account information and keep it updated. You are responsible for safeguarding your login credentials and for activity under your account. Notify us promptly at support@pinpathrn.com if you suspect unauthorized access. You may not share an account in a manner that interferes with the Service or circumvents any access limits.

2. The Service

The Service helps users organize information relevant to possible nursing-education pathways. Depending on the features available, the Service may collect profile information, generate personalized school or pathway suggestions, display prerequisite checklists, save progress, and provide links or references to third-party institutions and resources.

We may add, modify, suspend, or discontinue features. We do not guarantee that every feature will remain available or that the Service will be compatible with every device, operating system, browser, school, course, program, or jurisdiction.

3. Educational Information; No Affiliation or Guarantee

The Service is an informational planning tool. It is not an admissions office, school counselor, academic advisor, test-preparation provider, licensing authority, or healthcare provider. It does not provide legal, financial, medical, or other professional advice.

Nursing-program requirements, prerequisite equivalencies, application windows, testing requirements, tuition, transfer rules, accreditation, and admission standards can change and may vary by institution and applicant. Information available through the Service may be incomplete, delayed, or inaccurate. Before making any decision or incurring any cost, you must independently confirm all requirements and deadlines directly with the applicable school, program, testing organization, licensing board, or other official source.

PinPathRN does not guarantee admission, eligibility, transfer credit, course availability, graduation, examination performance, licensure, employment, or any other result. References to schools, programs, courses, or testing organizations do not imply sponsorship, endorsement, partnership, or affiliation.

4. Profile Information and Recommendations

You may provide information such as your intended nursing pathway, general geographic area, prerequisite status, completed courses, target start term, and TEAS status or score. You retain ownership of information you submit.

You grant PinPathRN a nonexclusive, worldwide, royalty-free license to host, store, reproduce, organize, analyze, and otherwise process that information as reasonably necessary to operate, secure, support, and improve the Service, provide your account and recommendations, comply with law, and exercise rights described in the Privacy Policy.

Recommendations depend on the information available to the Service and the information you provide. You are responsible for checking your entries and correcting inaccuracies. You may not knowingly submit medical records, health diagnoses, Social Security numbers, government-identification numbers, complete payment-card data, or other sensitive information that the Service does not request. Complete payment-card numbers and card security codes should be submitted only through the designated payment process and not directly to PinPathRN.

5. Beta and Test Features

The Service or certain features may be offered as a beta, pilot, preview, or test service. Beta features are provided for evaluation and may contain errors, change without notice, operate intermittently, or be reset or discontinued. During a beta, we may impose usage limits and may delete test data, subject to the Privacy Policy and applicable law.

Free or discounted beta access is temporary and does not entitle you to continued free or discounted access to the Service or any feature. PinPathRN may later offer paid access or paid features on terms disclosed at that time. Any such purchase requires a separate purchase process and affirmative authorization of the applicable charge.

You may provide comments, bug reports, and suggestions. Section 9 governs feedback.

6. Fees, Purchases, and Payment Processing

6.1 Prices and Purchases.

Some features may be free and others may require payment. The applicable price, payment terms, included features, and any material restrictions will be disclosed before you complete the purchase. PinPathRN will not impose a recurring charge unless the recurring nature of the charge and the applicable payment terms are separately disclosed and affirmatively authorized. If you are age 13 through 17, you may make a purchase only with the permission of your parent or legal guardian and only if you are authorized to use the payment method provided. By completing a purchase, you represent that you have any required parental or guardian permission, that you are authorized to use the payment method, and that the applicable charge is authorized.

6.2 Payment Processing.

Payment processing may be provided by Square, an app marketplace, or another third-party payment processor made available for the applicable purchase. Payment information submitted through a third-party payment service is processed under that provider's applicable terms and privacy notices. PinPathRN does not intend to receive or store complete payment-card numbers or card security codes. We may receive limited transaction information such as your name or contact information, transaction amount, date, status, payment method type, and transaction identifier.

6.3 Discount Codes.

Discount or promotional codes may be subject to eligibility rules, expiration dates, usage limits, and other disclosed restrictions. They have no cash value, may not be sold, and may be withdrawn or corrected if issued or used in error, except where prohibited by law.

6.4 Taxes and Refunds.

You are responsible for applicable taxes. Except as required by law or stated in a specific offer, fees are nonrefundable. Purchases made through a third-party payment service or app marketplace may also be subject to that provider's applicable payment and refund rules. We may correct pricing or billing errors as permitted by law.

7. Limited Right to Use the Service

Subject to these Terms, PinPathRN grants you a limited, revocable, nonexclusive, nontransferable, and nonsublicensable right to access and use the Service for lawful educational-planning purposes. No other rights are granted.

8. PinPathRN Materials and Third-Party Rights

The Service, including its software, design, text, graphics, arrangement, databases, recommendation logic, and other materials provided by PinPathRN, is owned by PinPathRN or its licensors and is protected by intellectual-property laws. You may not copy, modify, distribute, sell, lease, publicly display, create derivative works from, reverse engineer, or attempt to extract source code from the Service except to the limited extent applicable law prohibits that restriction.

School names, program names, course titles, TEAS-related marks, and other third-party names or trademarks belong to their respective owners. Their appearance is for identification or informational purposes and does not imply affiliation or endorsement.

9. Feedback

If you submit feedback, ideas, suggestions, or bug reports, you grant PinPathRN a perpetual, irrevocable, worldwide, royalty-free, transferable, and sublicensable right to use, reproduce, modify, disclose, commercialize, and otherwise exploit that feedback for any lawful purpose without compensation or attribution. This section does not transfer ownership of your personal profile information.

10. Acceptable Use

You may not:

11. Third-Party Services and Links

The Service may rely on or link to third-party websites, applications, databases, app marketplaces, hosting providers, communications providers, analytics tools, and payment services. We do not control and are not responsible for third-party content, availability, security, or practices. Your use of a third-party service may be governed by that party's terms and privacy policy.

12. Privacy

Our Privacy Policy explains how we collect, use, retain, and disclose personal information. By using the Service, you acknowledge the practices described in that policy. The Privacy Policy describes PinPathRN's privacy practices and is not incorporated into these Terms or made a contractual promise.

13. Suspension and Termination

You may stop using the Service at any time and may request account closure as described in the Privacy Policy. PinPathRN may suspend or terminate your account or your access to all or any part of the Service at any time, with or without notice, for any reason or no reason, to the extent permitted by law.

After termination, your right to access and use the Service ends. Sections concerning ownership and intellectual-property rights, feedback, disclaimers, limitations of liability, indemnification, dispute resolution, governing law and venue, and any other provisions that by their terms or nature are intended to survive termination will survive. Information may be retained or deleted as described in the Privacy Policy.

14. Changes to the Service or Terms

We may revise these Terms. If a change is material, we will provide reasonable notice, such as by email, in-account notice, or a notice on the Service, before the change takes effect when required. The updated Terms will state a new effective date. Your continued use after the effective date constitutes acceptance, except where law requires additional consent.

If you do not agree to revised Terms, you must stop using the Service before the change takes effect. Changes affecting prices or paid features will be handled in accordance with applicable law and the disclosures provided with the applicable purchase.

15. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” PINPATHRN DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND RESULTS.

WE DO NOT WARRANT THAT THE SERVICE OR ANY RECOMMENDATION, CHECKLIST, SCHOOL INFORMATION, OR THIRD-PARTY CONTENT WILL BE COMPLETE, CURRENT, ERROR-FREE, SECURE, OR UNINTERRUPTED. YOU ASSUME THE RISK OF RELYING ON INFORMATION PROVIDED THROUGH THE SERVICE, SUBJECT TO RIGHTS THAT CANNOT LAWFULLY BE WAIVED.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PINPATHRN AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST OPPORTUNITIES, LOST DATA, EDUCATIONAL COSTS, OR DECISIONS MADE IN RELIANCE ON THE SERVICE, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF PINPATHRN AND THE OTHER PARTIES IDENTIFIED ABOVE ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain exclusions or limitations. In those jurisdictions, the exclusions and limitations apply only to the extent permitted by law. Nothing in these Terms excludes or limits liability for fraud, willful injury, or violations of law to the extent such exclusion or limitation is prohibited by applicable law.

17. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless PinPathRN and its members, managers, employees, contractors, and agents from and against third-party claims, demands, actions, proceedings, damages, judgments, losses, liabilities, costs, expenses, and reasonable attorneys' fees arising out of or relating to (a) your access to, use of, or misuse of the Service; (b) your account or activity occurring through your account; (c) information or other content you submit, provide, or transmit through the Service; (d) your violation of these Terms or applicable law; or (e) your infringement, misappropriation, or violation of any right of another person or entity. To the extent permitted by law, you will also reimburse PinPathRN for losses, liabilities, costs, expenses, and reasonable attorneys' fees that PinPathRN incurs directly arising out of or relating to the conduct described in clauses (a) through (e), whether or not a third party asserts a claim. PinPathRN may control the defense of a covered third-party claim, and you will reasonably cooperate.

18. Dispute Resolution; Arbitration; Class-Action Waiver

18.1 Informal Resolution.

Except for a claim you elect to bring in small-claims court as permitted by Section 18.4 or a request for temporary, preliminary, emergency, or other urgent relief, before initiating a claim against PinPathRN in arbitration or court, you must provide written notice of the dispute and allow 30 days after PinPathRN receives the notice for the parties to attempt in good faith to resolve the dispute informally. The notice must describe the dispute, the relief requested, and your contact information. Send notices to legal@pinpathrn.com and PinPathRN LLC, 1950 Corporate Way, Anaheim, CA 92801. PinPathRN may, but is not required to, provide a similar opportunity for informal resolution before initiating a claim and may initiate a claim without completing this informal-resolution process.

18.2 Agreement to Arbitrate.

Except for a claim properly brought and maintained in small-claims court as permitted by Section 18.4, any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect, which are available from AAA.

Either party may seek temporary, preliminary, emergency, or other provisional relief from a court of competent jurisdiction when necessary to preserve the status quo, prevent immediate or irreparable harm, or prevent an arbitration award from being rendered ineffective, including relief relating to intellectual property, confidential or nonpublic information, unauthorized access, security, or the integrity or operation of the Service. Seeking such relief does not waive the obligation to arbitrate the underlying dispute. The Federal Arbitration Act governs this arbitration agreement.

Arbitration may be conducted by documents, telephone, videoconference, or an in-person hearing reasonably convenient to you, as the AAA rules permit. The arbitrator may award the same individual remedies a court could award. You are responsible for all arbitration filing and administrative fees that the AAA Consumer Arbitration Rules permit to be charged to you. PinPathRN will pay only those arbitration fees and costs that it is required to pay under the AAA Consumer Arbitration Rules or applicable law.

18.3 Individual Proceedings Only.

YOU AND PINPATHRN AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLASS MEMBER, OR REPRESENTATIVE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may award relief only to the individual party seeking relief and only to the extent necessary to resolve that party's individual claim. This provision does not prevent either party from seeking public injunctive relief in court where applicable law prohibits waiver of that remedy.

18.4 Small Claims.

Either party may bring an individual action in a small-claims court of competent jurisdiction, provided the action remains individual and within that court's authority.

18.5 Severability; No Class Arbitration.

If any provision of this Section 18 is held invalid or unenforceable as to any particular claim, remedy, or party, that provision shall be severed or limited only to the minimum extent necessary, and the remainder of this Section 18 shall remain in full force and effect. Any claim or remedy that cannot lawfully be resolved in arbitration shall proceed in a court of competent jurisdiction, while all remaining claims and remedies shall remain subject to individual arbitration. To the fullest extent permitted by law, any court proceeding concerning a nonarbitrable claim or remedy shall be stayed until completion of the arbitration of all arbitrable claims. Under no circumstances shall the invalidity or unenforceability of any portion of the class-action waiver be construed to authorize class, collective, consolidated, or representative arbitration. PinPathRN does not consent to arbitration on any such basis. If a claim may lawfully proceed on a class, collective, consolidated, or representative basis notwithstanding the waiver in Section 18.3, that claim shall proceed in court rather than in arbitration, and the remainder of this Section 18 shall remain enforceable to the fullest extent permitted by law.

19. Governing Law and Court Venue

California law governs these Terms, without regard to conflict-of-law rules, except that the Federal Arbitration Act governs Section 18. For disputes not subject to arbitration or small-claims court, you and PinPathRN consent to the exclusive jurisdiction of the state and federal courts located in San Diego County, California, except where applicable consumer law requires another forum.

20. Miscellaneous

These Terms are the entire agreement between you and PinPathRN regarding the Service, together with any additional terms expressly presented for a particular feature, purchase, promotion, or service. Any additional terms supplement these Terms. If additional terms conflict with these Terms, these Terms control unless the additional terms expressly identify the provision of these Terms that they modify or supersede. Any such modification or supersession applies only to the particular feature, purchase, promotion, or service to which the additional terms apply and only to the extent expressly stated. If any provision of these Terms is held invalid, illegal, or unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect. A failure to enforce any provision is not a waiver. You may not assign or transfer these Terms or any right under them without our written consent. PinPathRN may assign or transfer these Terms, in whole or in part, without your consent. Headings are for convenience only. “Including” means “including without limitation.” Electronic notices and signatures may satisfy writing requirements.
